1. Definition of Services

NouraSky is a software platform that provides e-commerce management tools and services for sellers on multiple platforms (Amazon, Noon, Salla, Trendyol), including ads management, inventory management, reports, and analytics.

2. Account and Registration

Upon registration with NouraSky, you agree to:

• Provide accurate and complete information
• Keep your password and login credentials confidential
• Accept full responsibility for activities on your account
• Comply with all applicable laws and regulations

3. Subscription and Payment

Free Trial Period: Upon registration, you receive 7 days free. After the trial ends, you must choose a paid plan or cancel the service.

Refund Period: You have 2 days after your free trial ends to request a full refund. After that, fees cannot be refunded.

Automatic Renewal: Your subscription will automatically renew each month (or year if you choose annual billing). You can cancel anytime.

4. Acceptable Use

You agree not to use our services for:

• Any illegal or fraudulent activity
• Infringing on others' intellectual or personal rights
• Posting abusive or inciting content
• Attempting unauthorized access to our systems
• Sharing your account with unauthorized parties

5. Data Ownership and Privacy

Store Data: You retain full ownership of all your store data. We use this data only to provide the service.

Collected Data: We may collect performance and usage data to improve our services. This data will not be shared with third parties without your consent.

API Connections: We connect to e-commerce platforms (Amazon, Noon, etc.) on your behalf using API keys you provide. We do not store your credentials.

5a. Third-Party Platform Compliance

When you connect external platforms (Meta, Google Ads, Amazon, TikTok, Salla, Noon, Trendyol) to Noura Sky via OAuth, you acknowledge that:

• You remain bound by each platform's own Terms of Service and Developer Policies in addition to these Terms.
• You authorise Noura Sky to access and process data from those platforms solely to provide the subscribed service.
• You can revoke this authorisation at any time.
• Noura Sky is not affiliated with, endorsed by, or sponsored by these platforms unless explicitly stated.
• Where a connected platform's terms conflict with these Terms in ways that affect your data, the connected platform's terms apply to the data they govern.

6. Obligations and Liability

Our Obligations:

• Provide services with high quality according to the chosen plan
• Protect your data from unauthorized access
• Respond quickly to support requests per the defined SLA

Your Obligations:

• Provide accurate and updated information
• Comply with each platform's terms of use (Amazon, Noon, etc.)
• Not use our services in any illegal way

7. Warranties and Disclaimers

The service is provided "as is" without any express or implied warranty. We do not guarantee:

• That the service will increase your sales or achieve specific results
• That there will be no service interruptions (we aim for 99.9% uptime)
• That the service will be error-free

8. Limitation of Liability

We are not responsible for:

• Any indirect or consequential losses or damages
• Loss of profits or data
• Any damage resulting from use (or inability to use) the service

Our total liability is limited to the amount you paid in the previous month.

9. Termination

You can cancel your subscription anytime from your account settings. Upon cancellation:

• You will lose access to the service immediately
• Fees will not be refunded (unless you are in the 2-day refund period)
• Your data will be retained for 30 days before permanent deletion

We reserve the right to terminate your service if you violate these terms.

10. Service and Terms Modifications

We may modify the services or terms at any time. If there are material changes, we will notify you before they take effect (at least 30 days). Continued use of the service means you accept the modifications.

11. E-Commerce Compliance

You are responsible for:

• Complying with each platform's terms of use
• Paying all applicable taxes and fees
• Following laws in countries where you sell

12. Dispute Resolution

In case of a dispute, we seek amicable resolution first. If we cannot reach a settlement, the dispute shall be governed by English law and English courts.
